1. About Our Services
Pinoyshifter ("we," "our," or "us") provides software development and IT consultation services, including custom web applications, websites and landing pages, mobile applications, and technology advisory for businesses. By submitting an inquiry, engaging our services, or using this website, you agree to these Terms of Service.
2. Inquiries, Consultations & Proposals
- Submitting an inquiry is free and does not commit you to anything. Initial consultations are free of charge.
- After the consultation, we may send you a proposal with a defined scope of work, a total project quote, and a required deposit. Quotes are custom to each project.
- A proposal is valid for the period stated in the proposal email (typically 7 days). We may revise or withdraw a proposal before you accept it.
- An engagement begins only when you accept the service agreement and pay the deposit.
3. Scope of Work & Change Requests
The work we deliver is defined by the scope in your accepted proposal. Anything outside that scope — new features, additional pages, extra integrations — is a change request that will be quoted separately and requires written agreement from both parties before work begins.
Timelines in proposals are good-faith estimates. They depend on timely feedback, content, and access from you; delays on the client side may extend delivery dates accordingly.
4. Payments, Deposits & Refunds
- All fees are in Philippine Pesos (PHP).
- A deposit (stated in your proposal) is required to reserve your project slot and begin work. The remaining balance is payable per the milestone schedule agreed at kickoff, with final payment due before handover.
- Deposits are refundable in full if we have not yet started work. Once the kickoff meeting has been completed and work has begun, the deposit becomes non-refundable.
- Payments for completed and accepted milestones are non-refundable.
- Payments are processed via PayMongo (QR Ph). We never see or store your bank or e-wallet credentials.
5. Client Responsibilities
To keep your project on track, you agree to:
- Provide the content, materials, credentials, and access needed for the project in a timely manner
- Respond to questions and review deliverables promptly
- Designate a contact person authorized to give feedback and approvals
- Ensure that materials you provide (text, images, data) do not infringe third-party rights
6. Intellectual Property
- Upon full and final payment, ownership of the custom work we deliver for your project transfers to you.
- We retain ownership of our pre-existing tools, code libraries, templates, and know-how used to build your project; you receive a license to use them as part of the delivered work.
- Third-party components (open-source libraries, fonts, stock assets, hosted services) remain governed by their own licenses.
- Unless you request otherwise in writing, we may showcase the completed project in our portfolio and marketing materials.
7. Confidentiality
Both parties agree to keep confidential any non-public business information, data, and proprietary material shared during the engagement, and to use it only for purposes of the project. This obligation survives the end of the engagement.
8. Warranty & Support
- We will fix defects in the delivered work that you report within 30 days of handover, at no additional charge.
- Ongoing maintenance, hosting, content updates, and new features are not included unless covered by a separate support arrangement.
- We are not responsible for issues caused by third-party services, hosting providers, or changes made to the delivered work by anyone other than us.
9. Cancellation & Termination
Either party may end an engagement with written notice. If a project is cancelled:
- You pay for all work completed up to the cancellation date, including partially completed milestones on a pro-rata basis.
- We deliver the work completed and paid for as of the cancellation date.
- Refunds, if any, follow the refund rules in Section 4.
10. Limitation of Liability
Our total liability arising out of or related to an engagement is limited to the total amount you have paid us for that engagement. We are not liable for indirect or consequential losses such as lost profits, lost revenue, loss of data caused by third parties, or business interruption. Nothing in these terms limits liability that cannot be limited under Philippine law.
11. No Guarantee of Business Outcomes
We build software to a professional standard, but we do not guarantee specific business results such as sales, traffic, search rankings, or revenue. Business outcomes depend on many factors outside our control.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Engagements already in progress remain governed by the terms accepted at the time of the agreement.
